These Terms of Service ("Terms") govern your access to and use of Novus ("Novus", "we", "our", or "us"). By using Novus, you agree to these Terms.

1. Use of the Service

Novus is a note-taking and knowledge organization product that allows users to create, store, edit, organize, and review notes, documents, and related workspace content.

You may use Novus only in compliance with these Terms and applicable law.

2. Accounts

You may need to create an account to use some or all features of Novus. You are responsible for maintaining the security of your account, all activity that occurs under your account, and providing accurate information when creating or managing your account.

3. User Content

You retain ownership of the notes, documents, prompts, uploads, and other content you submit to Novus ("User Content").

By using Novus, you grant us a limited license to host, store, process, reproduce, and transmit your User Content only as needed to operate, maintain, improve, and provide the service.

You are responsible for your User Content and for ensuring that you have the rights necessary to upload, use, and process it through Novus.

4. Acceptable Use

You agree not to use Novus to violate any law or regulation, infringe another person's intellectual property or privacy rights, store or transmit malicious code, spam, or harmful content, interfere with the service, attempt to gain unauthorized access to Novus or related systems, or use the service in an abusive, fraudulent, or deceptive way.

We may suspend or terminate accounts that violate these Terms.

5. AI Features

Novus may use third-party AI providers to generate summaries, suggestions, organization proposals, and other outputs.

AI-generated outputs may be inaccurate, incomplete, misleading, or inappropriate. They are provided for informational purposes only and are not professional advice.

You are responsible for reviewing and verifying AI-generated content before relying on it or sharing it.

6. Billing and Paid Features

Some features of Novus may require a paid subscription. If you purchase a subscription, billing and payment processing are handled by Stripe or our payment provider, subscriptions may renew automatically unless canceled, and you are responsible for any applicable taxes, fees, or charges.

You may cancel your subscription at any time. Unless otherwise required by law, fees already paid are non-refundable, and cancellation will stop future renewal charges rather than refund the current billing period.

We may change pricing or paid features in the future, but changes will not apply retroactively to amounts already charged.

7. Service Availability

We may change, suspend, or discontinue all or part of Novus at any time, with or without notice.

We do not guarantee that the service will always be available, uninterrupted, secure, or error-free.

8. Data Loss and Backups

You understand that software services may experience bugs, outages, or data loss.

While we aim to operate Novus responsibly, you are responsible for maintaining any backups you consider necessary. We are not responsible for loss of User Content, lost business, or other damages resulting from service interruptions, software issues, or misuse of the service.

9. Termination

You may stop using Novus at any time.

We may suspend or terminate your access to Novus at any time if you violate these Terms, if we believe your use creates risk for the service, other users, or third parties, or if we are required to do so by law.

Upon termination, your right to use the service ends immediately.

10. Disclaimer of Warranties

Novus is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Novus and its founders, operators, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of the service.

To the maximum extent permitted by law, our total liability for any claim relating to Novus will not exceed the amount you paid us, if any, in the 12 months before the claim arose.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and may provide additional notice where appropriate.

Your continued use of Novus after updated Terms become effective means you agree to the revised Terms.
